These Terms of Use ("Terms") govern your access to and use of BookedBack (the "Service"), operated by Careminds Inc. ("Careminds", "we", "us", or "our") and available at bookedback.ai. By creating an account, connecting your Google account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Service description
BookedBack is a dormant-lead reactivation product for small businesses and solo professionals. With your authorization, BookedBack connects to your Gmail through Google OAuth, scans your inbox to identify past prospects who contacted you but never converted ("dormant leads"), and surfaces them inside a dashboard. From the dashboard you can send one-click reactivation emails using templates you control, and BookedBack writes labels back to your Gmail so you can track the outreach in your own inbox.
The Service is operated by Careminds Inc. and uses automation including large language models to draft suggested reactivation copy. You review and approve every outbound action.
2. Who can use the Service
You must be at least 18 years old and able to enter a binding contract. If you accept these Terms on behalf of a company, you represent you have authority to bind that company, and "you" refers to that company. The Service is intended for business users only.
3. Your account and Google connection
- You are responsible for the accuracy of the information you provide and for keeping your Google account credentials secure.
- You may disconnect Google at any time from inside the Service (Settings → Disconnect Google) or from your Google permissions page. Disconnection triggers deletion of your stored Google data as described in our Privacy Policy.
- You may only connect Gmail accounts you own or are authorized to use.
4. User obligations
You agree that you will not, and will not authorize anyone else to:
- Use the Service to send spam, harassment, fraudulent messages, or otherwise unsolicited mass marketing.
- Use the Service to contact individuals you do not have a lawful basis to contact, including individuals who previously asked you to stop contacting them.
- Violate any applicable law in connection with the Service, including TCPA, CAN-SPAM, state-level consumer protection statutes, GDPR, and similar regimes.
- Reverse engineer, decompile, copy, or resell the Service or any part of it.
- Interfere with the Service, probe for vulnerabilities, attempt to access another user's account or data, or circumvent rate limits.
- Use the Service in a way that violates third-party terms of service for the platforms it integrates with (including Google).
- Upload purchased, scraped, or rented contact lists into the Service.
We may suspend or terminate your access immediately if we reasonably believe your use creates legal, security, reputational, or platform risk.
5. Data and ownership
- Your data stays yours. You retain all rights to your account data, lead records, and the contents of your Gmail. Connecting your Google account does not transfer ownership of any of that data to us.
- License to operate. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your data solely to provide the Service to you.
- Our IP. The bookedback.ai website, the BookedBack software, our prompts, models, dashboards, designs, and operational know-how are and remain our property. Nothing in these Terms grants you any license to that IP beyond the right to use the Service.
- Google user data. Our access to and handling of Google user data is governed by our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements. We do not sell Google user data, do not use it to train AI models, and do not use it to serve ads.
6. Fees
The Service may offer free and paid tiers. Paid tiers are billed in advance on a monthly or annual basis. Fees are exclusive of applicable taxes, which you are responsible for. You may cancel a paid subscription at any time; cancellation takes effect at the end of the then-current billing period and we do not refund prorated amounts unless required by law.
7. Communications consent
When you create an account, you consent to receive transactional, account, and service messages from us by email at the address on your account. Standard message and data rates may apply. You can opt out of non-essential messages at any time by emailing support@bookedback.ai.
8. Third-party services
The Service depends on third-party providers including Google, Anthropic, Vercel, Hetzner, and Stripe. Changes, outages, rate limits, or policy decisions by those providers may affect the availability or features of the Service. We are not liable for failures or modifications caused by third-party providers but will make commercially reasonable efforts to route around them.
9. Beta and experimental features
We may release features labeled beta, preview, or experimental. These are provided as-is, may change or be withdrawn at any time without notice, and are excluded from any service commitments or warranties in these Terms.
10. Service availability
We work to keep the Service available but do not commit to any specific uptime, response time, or feature guarantee unless we expressly agree to one in writing. We do not guarantee any particular result, including the number or quality of leads surfaced, the response rate to reactivation outreach, or any business outcome.
11. No warranty
The Service is provided "as is" and "as available", without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. AI-generated content (suggested email drafts and summaries) is informational and not a substitute for your own review. You are solely responsible for any message you choose to send through the Service.
12. Limitation of liability
To the maximum extent permitted by law:
- Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
- Our total aggregate liability arising out of or relating to the Service or these Terms is capped at the greater of (a) the amounts you paid us in the twelve months preceding the event giving rise to the claim, or (b) US $100.
These limits do not apply to fraud, willful misconduct, or any liability that cannot be limited under applicable law.
13. Indemnification
You will defend, indemnify, and hold Careminds and its officers, employees, and contractors harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) messages you sent through the Service, or (c) contact lists or content you uploaded that you did not have the right to use.
14. Termination
- You may stop using the Service and delete your account at any time from Settings → Delete my account.
- We may suspend or terminate your access immediately for breach of these Terms, for legal or security reasons, or with reasonable notice for any other reason.
- Upon termination, your data is deleted as described in the Privacy Policy. Sections of these Terms that by their nature should survive (data ownership, IP, accrued payment obligations, warranty disclaimers, liability limits, indemnity, governing law) survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service. The parties consent to personal jurisdiction and venue in those courts and waive any right to a jury trial.
The parties will first try in good faith to resolve any dispute by direct discussion for at least 30 days before initiating any legal action.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to active users by email at least 14 days before they take effect, unless a shorter period is required by law. Continued use of the Service after the effective date constitutes acceptance.
17. Miscellaneous
- Entire agreement: these Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
- Severability: if any provision is unenforceable, the rest stays in effect.
- No waiver: failure to enforce a provision is not a waiver of future enforcement.
- Assignment: you may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
- Force majeure: neither party is liable for delays caused by events outside reasonable control.
